Notice convening the Annual General Meeting Shareholders in STRALFORS AB (publ)are hereby given notice convening the Annual General Meeting on 4 May 2004, 4.00 p.m. in Garvaren Nöje B room, Ljungby.
At the Annual General Meeting the customary items will be taken up in accordance with the Companies Act and the Company’s Articles of Association.
Dividend
The Board proposes to the Annual General Meeting a dividend of SEK 1.75 per share.
Election of the Board
The Nomination Committee, which represents 85 percent of the votes in the company, has informed Stralfors AB that it intends to propose to the Annual General Meeting

Åke Fredriksson
Göthe Parkander
Björn Parkander
Per Risberg
Per Samuelson
Caroline Sundewall
Ole Sörensen and
Jan Åström
as Board Members, and
re-election of
Anna Parkander
as Deputy Member.
It is proposed that remuneration to the Board of Directors shall amount to 850 000, to be divided between the Board Members as determined by the Board.
If the Annual General Meeting determines in accordance with the proposal, the Board intends to appoint Åke Fredriksson as new Chairman of the Board.
Proposal for Election of Auditor
The Nomination Committee has informed the Company that it intends to propose to the Annual General Meeting the election of Ingvar Ganestam and re-election of Kerstin Mouchard as Auditors, and election of Johan Thuresson and re-election of Göran Neckmar as Deputy Auditors. All are Authorised Public Accountants with Ernst & Young. It is proposed that fees for the Auditors shall be paid as invoiced.
Nomination Committee
The Company has been informed that shareholders, who represent 82 percent of the votes in the Company, propose that a Nomination Committee shall be elected consisting of Göthe Parkander as representative for the major owner, Caroline af Ugglas, Skandia, and Marianne Nilsson, Robur,
as representatives of the institutional owners, and Sven Fridolfson as representative of the smaller owners.
