Strålfors AB held its Annual General Meeting today in Ljungby. The following were adopted by the Meeting:
BOARD OF DIRECTORS
The present members of the Board, including the deputy member, have all declined to be re-elected. Elected as ordinary members of the Board were Erik Olsson, Viveca Bergstedt Sten, Ingrid Ericksson, Andreas Falkenmark, Bo Friberg and Göran Sällqvist. All of them have a leading position at Posten. No deputy member was elected.
No remuneration to the Board will be paid.
At the statutory meeting with the Board of Directors after the Annual General Meeting, Erik Olsson was appointed Chairman of the Board.
As before, Per Samuelson is president and CEO of Stralfors.
AUDITORS
As new auditor was appointed Stefan Holmström, authorised accountant from KPMG Bohlins AB. He will compensate for Ingvar Ganestam, authorised accountant. As new deputy auditor was appointed Lena Möllerström, authorised accountant, KPMG Bohlins AB. She will compensate for Johan Thuresson, authorised accountant.
DIVIDEND
According to Posten’s completion of the Offer to shareholders in Stralfors it was decided that no dividend should be paid.
NEW ARTICLES OF ASSOCIATION
The Annual General Meeting decided change of the articles of association, in the main meaning an adjustment to the new Swedish Companies Act, which took effect January 1, 2006.
COMPUSORY PURCHASE OF REMAINING OUTSTANDING SHARES
Since Posten AB now holds more than 90% of the shares and votes in Stralfors, the Board of Directors have decided to initiate compulsory purchase of remaining outstanding shares. As earlier announced last trading day for the Stralfors share on the Stockholm Stock Exchange is Friday 16 June.
